How to change the registered office address

The change in the registered office can be in the same state, or in a different state, or in a different jurisdiction of ROC. Whatever be the change, it must be intimated to the ROC by filing form.

Types of change in a registered office address

Maybe due to some renovation or miss happening, a company registered office gets changes, then it becomes the utmost responsibility of the company or its owner to inform the same to ROC (Registrar of Companies) and for that prior intimation shall be submitted regarding the change made in the registered address.

The changes can be-

  1. Within the same city

If a company’s registered office gets changed within the same city, then a board meeting shall be conducted where a resolution shall be passed about the change to be made. Also, Form-INC-22 is required to be filed within 30 days of passing the resolution along with the utility bill for business address proof, NOC from the owner and the rental agreement must be attached in the form.

  1. Outside the local limits of the city but within the same ROC and same state

Where there is a change in the registered office of the company outside the local limits of the city, town or village then a social resolution shall be required to pass in the board meeting by filing Form MGT-14 within 30 days of passing the resolution. Also, Form INC-22 to be filed for the change made in registered office address.

  1. To other ROC in the same state

Where there is change of registered office address of one ROC to another within the same state, then by passing board resolution the company will require the approval of regional director which will be taken in Form INC-23. Also, special resolution shall be passed and Form MGT-14 to be filed.

In addition to this, Form INC-28 will be filed to inform ROC about the order of the Court or competent authority.

And lastly, Form INC-22 is filed to register the new registered office address of the company.

  1. From one state to the another

Changing the registered office from one state to another is a detailed procedure. At the first point, a board meeting is to be conducted. Thereafter, a special resolution is required to be passed in the Extra Ordinary General Meeting for informing the change in the address as well as for altering the MOA (Memorandum of Association). A special resolution is filed in Form MGT-14 with MCA within 30 days itself.

In addition to it, the company has to publish an advertisement for shifting the office which must be in vernacular as well as English newspaper. The advertisement must be made not more than 30 days before the date of application.

Form INC-23 to be filed where an application for shifting the registered office along with the documents are specified.

Form INC-22 will be filed within 30 days of receiving the order of the Regional Director.

As it is a major change made in the registered office address, it requires some necessary alterations to be made in the MOA (Memorandum of Association).
